Van’s Customers Must Accept Higher Prices or Risk Losing Deposits

About 1,500 customers who have put deposits on a total of 3,500 orders for airplane kits, parts and complete aircraft at Van’s Aircraft will have until Jan. 15, 2024, to accept price increases or risk losing their deposits. As part of Van’s Chapter 11 filing on Monday (posted by a commenter on the vansairforce forum), the company submitted a motion which, if approved, would allow the customers to apply their deposits to a revised purchase agreement. If they don’t take the deal, their order will be canceled and they will become one of those on a long list of creditors who will have to make claims in the bankruptcy case to get their deposits refunded. If the court approves the plan, all those who’ve made deposits will get an email with links to a portal where the details of their proposed new purchase agreement will be outlined. They will be able to accept or reject the terms through the portal.
In the filing, the company says it will lose money on all those orders if they are executed under the original terms and that if it doesn’t get permission from the court to increase the prices the future of the company will be in doubt. “Rejection of certain Customer Contracts at this time is critical to [the company’s] near and long term reorganization prospects,” the filing said. The petition only applies to merchandise produced by Van’s. Some customers have also put deposits on engines, avionics and propellers made by third-party vendors and those transactions will be dealt with separately. The filing said Van’s “will be in discussions with those third party vendors to determine what can be offered to those customers.”

Van’s Aircraft owes a lot of creditors relatively modest amounts of money, according to legal filings relating to the case. In its bankruptcy petition, the company says it owes from $10 to $50 million, but the top 20 creditors listed on its bankruptcy petition are only owed a fraction of that. The balance is owed to 25,000-50,000 creditors. The distribution of the balance of the debt beyond the top 20 isn’t included in the filing. There is some positive news for those owed money. Van’s says on the filing it expects to have funds “available for distribution to unsecured creditors.”
The largest single creditor is Lycoming, which is owed $598,323. Metal supplier Pacific Metal Company, of Tualatin, Oregon, is on the hook for $219,640.62 and Hartzell has $130,056.34 on its books. Number 4 on the list is a legal settlement to an individual in Texas in the amount of $87,500.02. Van’s was required to list the top 20 creditors in its filing and most of the remaining 16 on the list are businesses that provide goods or services to Van’s. The amounts owed range from $63,889.28 for No. 5 to $35,428.90 for the No. 20 creditor.

Van’s Expects 70 Percent Buy-In On Price Increase

Representatives of Van’s Aircraft told an Oregon bankruptcy court they expect about 70 percent of existing customers to accept a price increase (reported to be 30 percent) on the parts they have on order with the company. Company officials and lawyers were in court on Thursday to begin the process of moving the company into Chapter 11 reorganization. They dealt mainly with procedural issues and answered numerous questions from the judge in the case. Another hearing is planned for Dec. 19 where more decisions on the process going forward are expected. In the meantime, the court agreed to allow Van’s to continue basic business operations, including manufacturing and delivery of ready-to-ship kits and parts.
A major part of the reorganization is restoring profitability from the sale of parts and structures, and there are more than 3,500 orders, placed by more than 1,500 customers, that will be subject to a price increase. In its filings before the court, Van’s has proposed that existing customers be allowed to accept the price increase and continue receiving parts. If they reject the price increase, they could forfeit the deposits they made on those parts and end up in the large pool of unsecured creditors to recover their money, or a portion of it, through the bankruptcy process.
The enormity of the case has sent ripples through the GA industry, and both EAA and AOPA say they are keeping a close eye on the developments. “Van’s is doing everything it can to continue operations and return to profitability,” EAA said in a statement to AVweb. “EAA is going to respect that process as they move it forward.” AOPA urged members who are Van’s customers to keep track of the proceedings. AOPA stresses that if you have dealt with Van’s in the past, “you need to be watching for any notices or claim deadlines,” AOPA said in a statement to AVweb. “If you do not comply with the notices or deadlines, you could lose any opportunity to recoup costs.”

Van's Aircraft announced Monday (December 04, 2023) that it had filed for Chapter 11 bankruptcy protection. The company pointed to recent material and financial challenges and emphasized that this move is crucial for its reorganization.


Van’s stated it will maintain operations, producing and delivering parts, servicing customers, and fulfilling kit orders, operating under court supervision for 90 days.
Van’s cited recent contributing factors in its statement, including that it faced material challenges such as a debacle with faulty primer, which caused corrosion in many kits, and problems with its transition to laser-cut parts. These challenges led to significant cash-flow problems.

“During that time, Van’s built up a significant and high-value parts inventory. As we manufacture the additional parts needed to balance this inventory, we will leverage it to fulfill orders for kits and parts over the next 12 to 18 months,” the statement says.

Van’s acknowledged the hardship caused to its stakeholders by the Chapter 11 filing, including customers, suppliers, and employees—but expressed the necessity for these changes to secure the company’s future.

The company (Van's) provided updates on internal programs addressing inventory control, manufacturing delays, and issues with laser-cut parts. It has developed and revised strategies for impacted customer groups, including those needing replacement parts, customers with kit deposits, and those with deposits on engines, propellers, and avionics.

Prices, including for parts, will likely see a blanket increase. Van’s founder, Dick VanGrunsven, who had been essentially retired, has stepped in to help the company financially, according to the declaration, submitted by Clyde Hamstreet of Hamstreet & Associates. In addition to loaning the company more than $10 million in the last two years, the declaration indicates VanGrunsven plans to seek court approval for a post-petition loan from the VanGrunsven Trust, up to $6 million.

Customers with laser-cut parts will receive detailed lists of what’s affected, and they can expect replacement parts by the end of 2024, according to the statement. Those with kit orders will be contacted within 7 to 10 days, offering to apply existing deposits with “new terms and conditions including an increase in price.” Shipping for in-stock kit orders is expected to resume within a similar timeframe.

How Did Van’s Get To a Chapter 11 Filing?

Van’s Aircraft filing for Chapter 11 bankruptcy protection this week begs the question: How can the largest and most successful company in the kit-aircraft world find itself in this situation? With more than 11,000 RVs flying and record kit sales over the last three years, it seemed Van’s was set for success.

But countering the success of the company’s (Van's) designs and their unprecedented popularity were challenges compounded by the COVID pandemic, a failure by a key supplier and missteps of its own. Monday’s (December 04, 2023) Chapter 11 filing gives some clues to the situation Van’s faces that pushed the company into a form of bankruptcy that most often precedes a reorganization and recovery. (Van’s is not liquidating. Chapter 11 is designed to give a company some relief from liabilities and enable a reorganization into a sustainable business.)

In the Chapter 11 declaration is this summary: “Until recently Van’s operated successfully without bank loans or other lines of credit, relying on customer deposits and earnings for its working capital.” But then Van’s faced “a combination of unforeseen, significant events occurring over a relatively short period of time increased Debtor’s [Van’s Aircraft’s] costs, doubled its normal inventory levels, slowed deliveries, and strained Debtor’s cash flow to the breaking point.” Support from founder Dick VanGrunsven since September have kept the company afloat.

One could argue that Van’s trouble started with an issue regarding quickbuild kits. The offshore constructor failed to adequately corrosion-proof parts of the assembly, which led Van’s to a time-consuming side project to understand the nature of the problem and its scope, and construct a remedy. The issue is described in the declaration as a “multi-million-dollar setback” for Van’s. Moreover, it contributed to a growing backlog in ordered kits and extended delivery times for customers.

At the same time, there was unprecedented demand for kits during the early stages of COVID. (In fact, the entire homebuilt industry witnessed a surge in popularity, with all major kit manufacturers reporting greatly increased sales in 2020 and 2021.) For Van’s, kit sales rose from 1594 during 2019 (already a very good number for the company) to 2508 in 2020 and 3982 in 2021. According to the filing, revenue actually decreased from $31.5 million in 2019 to $31.1 million in 2020, despite a 1000-unit increase in orders. Van’s didn’t get the bulk of the kit payment until shipment. In 2021, however, the big increases in order began to show up in revenue, increasing to $37.6 million in 2021 and $52.6 million in 2022. Net income, as described in the declaration, was $2.6 million in 2019, $3 million in 2020, but dropped to $2.1 million in 2021 as investments to increase capacity began to appear in the financials. In 2022, Van’s net income turned red, with a loss of $3.3 million; it lost $1 million through the end of August this year against revenues of $43 million.

It’s important to understand that Van’s was already operating at or near capacity in 2019. Along with technical changes to the kits over time that placed more work at the factory (steps the builder would not have to perform, an expectation in the modern kit-aircraft world), Van’s found itself with greatly increased demand and set about finding ways to meet it.

Because the vast majority of the company’s kit parts are known as “pre-punched” parts and the machines that do the punching formed the production roadblock, Van’s looked for ways to increase capacity by outsourcing some of this step. One way was to have the parts normally punched instead have their holes cut by a laser. This is a common method for automating manufacture of sheet metal parts, along with CNC routers, punches and water-jet cutting. In fact, Van’s had been using laser cutting for some parts and then elected to laser-cut more of them.

Builders began to notice that some laser-cut parts would crack during the dimpling process—where the metal is formed for the purpose of installing flush rivets—and that eventually started Van’s engineering department down the path of discovering why this was happening. Many builders felt that Van’s was slow to acknowledge the problem and that by the time it did, there was a significant quantity of laser-cut parts out in the world. Van’s turned its full attention to the problem and identified the parts in question—more recently, they were able to far more accurately predict which specific airplane kits were likely to have the suspect parts. Latest estimates are that some 1800 kits are affected.

These issues would challenge many companies but they were compounded by other events, as the declaration shows. “Van’s order file doubled in the 2020 and 2021 period. At the same time, supply chain issues, and supplier shutdowns slowed productions of key components, increasing back orders and delaying order completions, requiring Debtor to hire and train more staff. Wages increased, and shipping costs rose more than four-fold during this period. Stated simply, without realizing it, Debtor was selling a high volume of aircraft kits below its cost. The combination of all these factors overstressed Van’s workforce, operating support systems and management skills resulting in a series of one-off but very costly errors.” The declaration also notes that, “Some of its senior employees with deep familiarity with both office and manufacturing process workings chose to retire during COVID.”

The picture painted is of a company (Van's) overwhelmed by overlapping challenges, started by the primer issue with quickbuild kits and followed closely by a global pandemic that simultaneously cut into its manufacturing capacity, dramatically increased costs and, perhaps ironically, also greatly boosted demand. That in the effort to catch up with demand the company also lost track of internal costs and failed to increase kit prices (as one remedy) is one inescapable takeaway from the factual descriptions in the Chapter 11 declaration—and a good indication of the remedies needed to define its path forward.

About 60 percent of the first Van’s Aircraft customers contacted have immediately agreed to continue with their orders despite an average 32 percent price increase and reduced flexibility in customizing their aircraft. At a bankruptcy court hearing into the company’s Chapter 11 filing on Tuesday, the company reported about 300 of the first 500 customers on the notification list signed new agreements within 24 hours of receiving formal notification from Van’s. There are about 1,000 more emails to be sent and the deadline for agreeing to the new terms is Jan. 15. Those who agree will have any deposits they paid for kits or parts applied to the final cost of their orders. Those who don’t accept the new deal will lose their deposit to the pool of unsecured creditors and will have to try to recoup their money through the bankruptcy creditor disbursement process.

When it informed the court of the price increase plan at a hearing two weeks ago, the company said it estimated that about 70 percent of customers would go for the new deal. ’’KITPLANES’’ reported the company began sending out the notices on Monday. Dynon Announces “Relief” For RV Builders

Dynon Avionics announced today that it is offering a 5% rebate on certain Dynon and Advanced Flight Systems products for RV builders in an effort to help offset some of the cost increases those builders have experienced recently.
“The world of experimental aircraft builders is a small one,” says company president Robert Hamilton. “I’ve met many of you at Oshkosh and other shows over the years, and I know the commitment it takes to build and maintain your own airplane. When some of us have misfortune, it is felt by all of us. We’re in this together. The difficulties that Van’s has experienced over the last six months is known to us. We have seen the effects through decreased sales to RV builders, and know the pain firsthand from our own employees who are in the process of building RVs.”
The company’s program amounts to a 5% rebate on Dynon or AFS products purchased between January 30 and April 15, 2024, which is the end of Sun ‘n Fun. The products include both large and small SkyView HDX displays, the Advanced Flight Systems AF-6600 display, all the popular accessories (ADAHRS units, engine monitoring, etc.) as well as Dynon’s remote transponder and com radios.

“Because we know that some kit lead times may be longer than usual, we will also warrant these products for an additional year (4 years, instead of the usual 3),” says Dynon, noting that for the builders to be eligible they will have to provide “documentation from you showing proof that you are an affected customer.”
Hamilton concludes with, “We are experimental builders and owners here at Dynon, and our goal has always been to help make it affordable for anyone and everyone who wants to fly. That is our mission, and has been for 24 years.”

UPDATE FOR CUSTOMERS WITH OPEN ENGINE/POWERPLANT, PROPELLER AND AVIONICS KIT ORDERS

When Van’s filed for Chapter 11 protection in early December, many of our customers had open orders and deposits on various Van’s airframe kits and third-party items including engines, propellers, avionics kits, and powerplant kits. Several weeks ago, Van’s sent notice to customers with deposits on aircraft kits stating that these orders contained terms, conditions, and pricing that Van’s could not perform and that these orders needed to be modified or canceled. The deadline to modify or reject those orders is January 31, 2024. Since that notice, the rate of customer reorders has been high and we appreciate our customers’ support and engagement.

Over the past several weeks, we have been working through open customer orders and related deposits on hundreds of third-party items. In the next few days, we will begin sending official notices to customers with these open orders, informing them of the price changes that Van’s is making on each order. The official notice each customer receives will contain a link to a web portal where each customer can review their specific price increase. Customers who receive these notices will be given 14 days to decide whether to accept or reject these modified orders.

We realize that many customers with orders for Van’s airframe kits who are facing the January 31 deadline also have open orders for third-party items. Some of those customers have been waiting to see what their cost increases will be on these third-party items before deciding whether to modify or reject their airframe kit orders. If you receive an official notice to modify or reject a third-party item order and you have not yet decided to modify or reject your airframe kit order, your deadline to modify or reject your airframe kit order is extended to the same date by which you must decide to modify or reject your third-party item order.

Below is a summary of the approximate price increase by major group type on third-party components. If you accept our modified offer, Van’s will apply 100% of your prior deposit(s) toward the same product(s) on your revised order.

• Hartzell propellers: 3% increase to the original order price. (Due to special accommodations made by Hartzell, Van’s was able to keep this increase to a minimum.)

• Sensenich propellers: 6% increase to the original order price.

• MT propellers: 6% increase to the original order price.

• RV-12/12iS Avionics Kits: 6% increase to the original order price.

• RV-12/12iS Powerplant Kits: 6% increase to the original order price.

• Lycoming: either a 12% increase to the original order price, or 2024 pricing, whichever is lower.

We know these price increases create hardship for our customers. However, without taking these steps and making these price changes, there simply is not a feasible path forward for Van’s Aircraft. Increasing these prices allows us to remain in business to provide parts, kits, and support for the thousands of builders and owners of Van’s products, and to be around to support each of you for years to come.

Van’s Exceeds Expectations on Kit and Engine Re-Orders

Van’s Aircraft posed a video today updating builders on Chapter 11 progress, which is “on schedule and going smoothly.” “We’ve had an overwhelming response, more than we expected,” said Greg Hughes, who shared the video with Van’s founder Dick VanGrunsven., on the subject of customer re-orders.

Originally, Van’s was hoping for an overall re-order rate of 70% after builders were asked to agree to new, higher kit prices and higher prices on accessories such as engines, propellers and avionics. According to Hughes, the overall response rate has been more than 81%, including a 93% re-order rate on engines and a 78% re-order rate on airframe components. Van’s has extended the order period to February 22 at 11:59 p.m.

Van’s has picked up the pace on kit deliveries, having crated more than 250 kits in the last six weeks and continues to produce and ship replacement components for builders who want to replace their laser-cut parts in existing kits. Van’s has so far provided parts to some 9% of the affected kits.
The Chapter 11 restructuring plan is due to be submitted in early March.

Dick VanGrunsven also announced that the RV-15 is “ongoing” and that the development process will be accelerating soon. (Oregon’s winter weather isn’t exactly conducive to flight testing.)

Great,
This financial mess, with no fault on my part, has personally cost me an extra $10,000 (engine I ordered Nov 2022), OR lose my $20,000 deposit. It hurts to see them smile in video.

Van’s Aircraft posted a video update today on its progress through Chapter 11 bankruptcy. Among the high points offered by Greg Hughes:
• The company expects to file its reorganization plan at the end of March.
• The company has delivered 375 kits since late December, averaging about 30 kits a week.
• More than 360 orders including replacements for laser-cut parts have been shipped
Of those kits “reordered” after the change in price earlier this year, some 30% of those kits have been shipped.
• In the next few weeks, the company will be reposting lead times for kit components on its website. Previously, the lead times were in a fairly broad range but have been removed since the reorganization began.
• The RV-15 project is “alive and well” although it has been delayed by the company’s reorganization. It’s not likely the RV-15 will be at AirVenture this year (the company is not attending Sun ‘n Fun) because it’ll be going through its next set of iterations at the factory.
• Regarding orders of Lycoming engines through Van’s, “quite a few” engines will be built in April and May (no numbers given) and it’s hoped that this effort can be “ramped up,” according to Van’s.
• The company resumed tours and demo flights “a couple of weeks ago,” according to Hughes.

VAN’S AIRCRAFT CHAPTER 11 REORGANIZATION PLAN FILED

On Friday evening, Van’s Aircraft filed its Chapter 11 Plan of Reorganization with the Federal Bankruptcy Court. The filing will be complete after the court sets various hearing dates and the judge signs a certificate making it an official court document. This usually takes 3-5 days. Then, a copy of the officially filed plan is mailed to the same approximately 40 thousand people that were notified at the time Van’s filed bankruptcy. Those people who have claims against the company receive ballots so they can vote either for or against the plan. Votes will be collected by Van’s attorneys, tallied, and reported to the court as it considers whether to approve or reject the plan.

Van’s customers who made deposits on their orders prior to the bankruptcy and chose not to renew their orders and have valid claims will have their claims classified as Priority and/or Unsecured claims. Priority claims will be paid upon confirmation of the plan or as soon as allowed, and the unsecured claims will be paid at an estimated rate of 55% of the unsecured amount over the course of the next three years. Had the company liquidated rather than reorganizing under Chapter 11, it is estimated that creditors would have received only 4% of their claim amounts.

The existing skilled, hardworking team at Van’s has made solid progress toward its recovery goals since the initial filing in December and is shipping many kits, parts, and orders to customers each week. To assist the existing Van’s team, the plan calls for adding new positions in quality control, engineering, accounting, and technology. In addition, the plan includes funding to replace equipment and install new business systems, including an MRP system.

Van’s will share additional information related to the plan filing after the court has completed its next steps, sometime next week.
